IRDAI's Commission Reset
Banks · BancassuranceSector Flash25 September 2026S E C TO R F L A S H · P R I V AT E B A N K SIRDAI's Commission Reset:~₹3,171 Cr of Bank Insurance Income at RiskIRDAI's draft distribution reforms could materially compress bancassurance economics, with our base case estimating ~₹3,171 Crof annual insurance income at risk across Axis, IndusInd, YES, Bandhan and RBL. The impact is concentrated in insurance income:~49.7% lower in our base case, translating into ~1.1% lower total income.SHARE PRICE FALL, 24 SEP 2026−5.49%−5.21%−4.58%−4.42%−3.70%Axis BankIndusInd BankBandhan BankRBL BankYES Bank01 What exactly is IRDAI proposing? On 23 Sep 2026, IRDAI published a draft on how insurers pay the businesses that sell their policies. Banks are among the largest of these sellers, which is calledbancassurance (banks selling insurance to their customers). In IRDAI's language a bank is a corporate agent or distribution entity (a business licensed to sell policiesfor insurers).IRDAI proposal (draft)What it means in simple EnglishWho is affected?Commission caps to return A commission cap is the most an insurer may pay a seller, as a % of premium. Life savings and linkedBanksproducts: proposed first-year caps of 5% (when the premium-payment term, the years the customerpays, is under 5) to 20% (10+ years). Regular-premium pure term: 25%. Non-life: nil on motor third-partyup to 15% on individual health and retail property. IRDAI's sample shows bank corporate agents earn~27% on average today.Every payment to countRewards, incentives, promotional expenses and any other remuneration (payment) would sit inside the Banks + employeescap, so banks could not shift money from commission into "rewards". These extras add 30% to 60% on topof base commission today.Loan bundling to tightenA lender could not make buying insurance compulsory with a loan. Acceptable combinations mayBanks + customerscontinue, subject to safeguards.Credit-life resetCredit-life insurance is cover linked to a borrower's outstanding loan. IRDAI's data show effective group Banks + employeescredit-life payouts of ~45%, vs proposed caps of 2% to 2.5% for businesses that both lend and sellinsurance: the sharpest cut.Staff incentives proposed to Volume- and reward-linked incentives for bank/NBFC staff selling insurance would be prohibited, with a Bank employeesbe restrictedclawback (commission taken back) for mis-selling.Lower expense limitsEoM (Expenses of Management, the cap on an insurer's total running costs) would fall to 15% of GDPIInsurers, and indirectly(gross direct premium income) in two years and 12.5% in five for life insurers; 25% and 20% for generalbanksinsurers.Rural top-upExtra 10% to 20% allowance proposed for sales in specified underserved and rural areas.Sellers in those areasIRDAI also proposes different treatment for open architecture (a bank selling for several insurers: up to 9 life, 9 general and 9 health) and closed architecture (tied to fewer insurers); we do not modelthis.Source: IRDAI consultation paper, Parts 1 and 2 (Sep 2026). IRDAI's draft would cap this payout, so the combined commission and rewardswould have to fit within the proposed limit. The result would be lower income for the bank on the same volume of business, even if the number of policies itsells stays unchanged.10% volume leakage — Front Wave assumptionC H A N N E L 2 : P O T E N T I A L LY F E W E R P O L I C I E SLoan and insuranceBundling to beFewer policies via➔➔➔Extra pressure1234linkedrestrictedbanksA large share of bancassurance has historically been sold alongside loans, with insurance cover attached at the point of disbursement. The draft would barcompulsory bundling of insurance with loans and cut the incentives that encouraged this practice. As a result, fewer policies are likely to be sold throughbank branches, and these lower volumes would add further pressure on top of the rate cut, compounding the hit to the bank's fee income. Our base case captures both: the proposed caps in full (Channel 1) and 10% less business through banks (Channel 2). The 10% volume leakage is a Front Waveassumption, not an IRDAI figure.05 So why did bank stocks fall yesterday?23 Sep: IRDAI draftInvestors reassessExposed banks24 Sep: financials fall1243pressuredProposed caps on commissions,Future bancassurance earnings12 financial stocks lost ~₹1.12 lakh➔➔➔Banks with meaningful insurancerewards and staff incentives.look smaller.cr of market value intraday.income sold off.WHY THE SHARES FELLA direct hit on fee income. The draft does more than trim payouts. It proposes to bring back hard commission caps, count rewards and incentives inside them, barvolume-linked staff incentives and cut credit-life payouts from an effective ~45% to 2%–2.5%. For banks with sizeable bancassurance books, that reaches the core of howthey earn from insurance.Small in revenue, large in profit. Insurance is only ~2% of these banks' income, but a policy sold at a branch needs no loan book, funding or provisions, so a lostcommission is largely lost profit. We estimate the draft roughly halves their insurance income: ~1.1% of total income, but ~7.7% of combined FY26 PAT.Uncertainty gets priced up front. Share prices reflect years of expected earnings, and a draft with no final caps or start date adds uncertainty on top of lower earnings. At the 24 Sep intraday low the five had lost ~₹32,190 cr of market value, about 10× our annual income estimate. The rest of this section takes it step by step: which banks have taken the most (5.1), how much insurance income is at risk (5.2), why that matters more to PAT than tototal revenue (5.3), and why the stocks fell by more than the income hit (5.4).Important: The draft was an important new negative for banks with high bancassurance exposure, but the share moves also came amid a broader financial-sector sell-off. The ranking of the falls does not track our estimates neatly either: Axis fell most despite the smallest estimated PAT hit (~5.6%), and YES Bankfell least despite ~9.4% at risk. We do not claim the draft alone caused them.2

Because insurance is a small part of what they earn, that isonly ~1.1% of total income, but because these fees cost little to earn, it is a larger ~7.7% of combined FY26 PAT, ranging from ~6% at Axis to ~40%at IndusInd, whose FY26 profit was unusually low. The shares fell on 24 Sep as the draft landed, amid a broader financial-sector sell-off. The keyvariables from here are the final commission caps, treatment of architecture and rural allowances, implementation timing, and whether bankssee meaningful volume leakage.Sources: IRDAI consultation paper, Parts 1 and 2 (Sep 2026); FY26 bank annual reports and audited FY26 results (Front Wave Research data); share prices from Business Today and Kotak Neo; reportedmarket-value losses from Moneycontrol and Kotak Neo (24 Sep 2026); 23 Sep closing market caps from IIFL.
